Acceptance of Terms

By accessing or using BEABIAI ("the Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you must not use the Service. If you use the Service on behalf of an organization, you represent that you are authorized to accept these terms on its behalf.

Service Description

BEABIAI is a multi-platform video publishing tool that helps creators, agencies, and businesses upload and publish user-selected, user-authorized videos to their own connected YouTube and TikTok accounts. The Service lets you connect authorized accounts, select videos, add publishing details such as titles, descriptions, hashtags, and cover images, publish or prepare to publish to authorized destinations, and view upload status and results.

Account and Platform Connection

To use core features, you connect your YouTube and TikTok accounts by authorizing BEABIAI through the applicable OAuth or platform authorization flow. You are responsible for maintaining the security of your accounts and for all activity that occurs under your authorized connections. You may disconnect a connected account at any time through BEABIAI or by revoking access in your Google or TikTok account settings.

User Responsibilities

You agree that you will:

• Provide accurate information and use the Service only for lawful purposes.
• Only connect accounts that you own or are authorized to operate.
• Only upload and publish content that you have the right to publish.
• Comply with these terms, our Privacy Policy, and the policies of the platforms you publish to.
• Not misuse, interfere with, or attempt to gain unauthorized access to the Service or related systems.

Ownership of Uploaded Videos

You must own or have all necessary rights, licenses, consents, and permissions to the videos and other content you upload and publish through BEABIAI, including any music, images, trademarks, and likenesses contained in them. You are solely responsible for the content you publish and for ensuring it does not infringe the rights of any third party.

Prohibited Content and Use

You must not use BEABIAI to upload, publish, or distribute content that:

• Is illegal, infringing, defamatory, fraudulent, or violates the rights of others;
• Contains malware, or is intended to harm, disrupt, or gain unauthorized access to systems or data;
• Is hateful, harassing, sexually exploitative, or otherwise prohibited by applicable law or platform policies;
• You are not authorized to publish, or that you do not have the rights to use.

You also must not attempt to use the Service to publish to accounts you do not own or are not authorized to operate, or to circumvent any platform's rules, rate limits, or security measures.

Platform Policy Compliance

When you use BEABIAI to publish to YouTube, TikTok, or any other platform, you must comply with that platform's terms of service, community guidelines, and developer or content policies, including the YouTube Terms of Service and the TikTok Terms of Service and community guidelines. You are responsible for ensuring your content and activity meet those requirements.

No Unauthorized Publishing

BEABIAI publishes content only to accounts you have connected and authorized, and only for the videos you select. You agree not to use the Service to publish content without proper authorization. You are responsible for the authorizations you grant and the content you choose to publish.

Service Availability

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable from time to time due to maintenance, updates, third-party platform changes, or factors beyond our control. We may modify, suspend, or discontinue features at any time.

Third-Party Platforms

BEABIAI relies on third-party platforms and APIs, including those provided by Google/YouTube and TikTok. Your use of those platforms is subject to their own terms and policies. We are not responsible for the availability, behavior, or decisions of third-party platforms, including changes to their APIs, content moderation, or account actions they take. BEABIAI is not affiliated with, sponsored by, or endorsed by Google, YouTube, or TikTok.

Intellectual Property

The Service, including its software, design, text, and branding (excluding your content and third-party trademarks), is owned by CÔNG TY TNHH THƯƠNG MẠI MINODERM and protected by applicable intellectual property laws. You retain ownership of the content you upload. You grant BEABIAI a limited license to process and transmit your content solely to provide the publishing features you request.

Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, that publishing will always succeed, or that the Service will be uninterrupted, secure, or error-free.

Limitation of Liability

To the maximum extent permitted by applicable law, BEABIAI, CÔNG TY TNHH THƯƠNG MẠI MINODERM, and its representatives will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of or inability to use the Service. To the extent liability cannot be excluded, our total liability for any claim relating to the Service will be limited to the amount you paid us, if any, for the Service in the twelve months before the event giving rise to the claim.

Termination

You may stop using the Service and disconnect your accounts at any time. We may suspend or terminate your access to the Service if you violate these terms, if required to protect the Service or other users, or if required by law or by a third-party platform. Upon termination, the rights granted to you under these terms will cease. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, and limitations of liability.

Changes to These Terms

We may update these Terms of Service from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated terms.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Vietnam, without regard to its conflict of laws principles. Subject to applicable mandatory law, any disputes arising out of or relating to these terms or the Service will be subject to the competent courts of Vietnam.
